These Terms of Service ("Terms") govern your access to and use of Trade Manager ("we," "our," or "us"), an automated trading platform that provides community algorithms for executing trades across multiple brokers. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Trade Manager, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use our services.

2. Description of Service

2.1 Automated Trading Platform

Trade Manager is an automated trading platform that provides:

• Access to community algorithms and trading strategies
• Automated trade execution across connected broker accounts
• Risk management and configuration tools (stop losses, take profits, contract sizes, limits)
• Forward testing capabilities
• Performance analytics and monitoring

2.2 Community Algorithms

Our platform allows users to access, use, and share trading algorithms from our community. Community algorithms are provided "as-is" and we do not guarantee their performance, accuracy, or suitability for your trading objectives.

2.3 Broker Connections

Trade Manager connects to your broker accounts through direct API connections. We act as an intermediary to execute trades on your behalf based on your configured strategies and risk parameters. We are not a broker, financial advisor, or investment manager.

3. Account Registration and Security

3.1 Account Creation

To use our services, you must:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Using strong, unique passwords

3.3 Broker Credentials

When connecting broker accounts:

• You grant us permission to access your broker accounts via API for trade execution
• Your broker credentials are stored using enterprise-grade encryption
• We only access accounts as necessary to provide our services
• You remain responsible for your broker account security and compliance

4. Trading Risks and Disclaimers

4.1 Trading Risks

You acknowledge and agree that:

• All trading involves risk of financial loss
• Automated trading systems may execute trades rapidly and in large volumes
• Market conditions can change rapidly, affecting trade outcomes
• Technical issues, connectivity problems, or system failures may affect trade execution
• Community algorithms may not perform as expected
• You should only trade with capital you can afford to lose

4.2 No Financial Advice

Trade Manager provides technology and access to algorithms. We do not:

• Provide investment advice or recommendations
• Guarantee profits or returns
• Act as your financial advisor or broker
• Make trading decisions on your behalf

4.3 Algorithm Performance

We make no warranties or representations regarding:

• The accuracy, completeness, or reliability of community algorithms
• The performance or profitability of any algorithm
• The suitability of algorithms for your trading objectives
• Future market conditions or algorithm performance

5. Risk Management Configuration

5.1 Your Responsibility

You are solely responsible for:

• Configuring stop losses (SL) and take profits (TP) for each strategy
• Setting contract sizes and position limits
• Establishing risk limits and maximum exposure
• Monitoring your account performance and adjusting settings as needed
• Ensuring risk parameters are appropriate for your trading objectives and risk tolerance

5.2 Default Settings

While we provide default risk management settings, you are responsible for reviewing and customizing all risk parameters. Default settings may not be appropriate for your specific situation.

5.3 Trade Execution

We execute trades based on your configured algorithms and risk parameters. We are not responsible for losses resulting from:

• Your risk management configuration choices
• Algorithm selection or usage
• Market conditions or volatility
• Technical issues beyond our reasonable control

6. Subscription and Payment

6.1 Subscription Plans

Our services are provided on a subscription basis. You agree to:

• Pay all applicable fees for your selected subscription plan
• Maintain a valid payment method on file
• Authorize automatic billing for recurring subscriptions

6.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all applicable fees
• Failure to pay may result in service suspension or termination

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access until the end of your billing period.

6.4 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will be communicated in advance and will apply to subsequent billing cycles.

7. Prohibited Uses

You agree not to:

• Use our services for any illegal purpose or in violation of any laws or regulations
• Attempt to reverse engineer, decompile, or extract our algorithms or proprietary code
• Interfere with or disrupt the security, integrity, or availability of our services
• Access other users' accounts or data without authorization
• Use automated systems (bots, scrapers) to access our services without permission
• Share, resell, or redistribute algorithms or access to our services
• Engage in any activity that could harm our reputation or services
• Use our services to violate broker terms of service or exchange rules

8. Intellectual Property

8.1 Our Property

All content, features, algorithms, software, and technology provided by Trade Manager are owned by us or our licensors and are protected by intellectual property laws.

8.2 Your Property

You retain ownership of your trading data and account information. By using our services, you grant us a license to use this data to provide our services.

8.3 Community Algorithms

When you share algorithms through our community features, you grant us and other users a license to use, modify, and distribute those algorithms within our platform.

9. Service Availability and Modifications

9.1 Service Availability

We strive to maintain high service availability but do not guarantee:

• Uninterrupted or error-free service
• That our services will be available at all times
• That all features will function perfectly

9.2 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any aspect of our services at any time
• Add, remove, or modify features without prior notice
• Update algorithms and trading strategies
• Impose usage limits or restrictions

9.3 Scheduled Maintenance

We may perform scheduled maintenance that temporarily interrupts service. We will provide reasonable notice when possible.

10. Limitation of Liability

10.1 Trading Losses

We are not liable for:

• Trading losses resulting from algorithm use or trade execution
• Losses due to market conditions, volatility, or unforeseen events
• Losses resulting from your risk management configuration
• Losses due to broker errors or issues
• Losses due to technical issues, connectivity problems, or system failures

10.2 Maximum Liability

Our total liability for any claims arising from or related to our services shall not exceed the total amount you paid to us in the 12 months preceding the claim.

10.3 No Guarantees

We provide our services "as-is" and "as-available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless Trade Manager, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any law or regulation
• Your trading activities and decisions
• Your broker account usage

12. Termination

12.1 By You

You may terminate your account at any time by canceling your subscription or contacting us.

12.2 By Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• You fail to pay applicable fees
• We believe it is necessary to protect our services or users

12.3 Effect of Termination

Upon termination:

• Your right to use our services immediately ceases
• All outstanding trades will be handled according to your broker's policies
• We may delete or anonymize your account data (subject to legal retention requirements)
• You remain liable for all amounts due

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from or related to these Terms or our services shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trade Manager regarding our services.

14.2 Modifications

We may modify these Terms at any time. Material changes will be communicated through:

• Email notification
• Prominent notice on our platform
• Updated "Last Updated" date

Your continued use of our services after changes constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full effect.

14.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
